HIZITIV Labs Inc. operates hizitiv.org and related products and services. The information provided through our Services is not intended for distribution to any person or entity in any jurisdiction where such distribution would be contrary to law or regulation. By accessing our Services, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. Industry-Specific Compliance: As a user of our blockchain platform, you acknowledge and agree to comply with all relevant regulations governing blockchain technology, including data protection laws, financial regulations, and any other industry-specific standards applicable to your use of our Services.

All intellectual property in our Services — including but not limited to the HIZITIV brand, the Lightpaper, Whitepaper (forthcoming), HIZIV4 cryptographic stack, UPoS consensus mechanism, NOILLIV donation protocol, Proof of Save technology, product and service designs, logos, and website content — is the exclusive property of HIZITIV Labs Inc. and protected by copyright law. Unauthorized reproduction, imitation, or distribution of any HIZITIV intellectual property is expressly prohibited and will be enforced to the full extent of the law.

By using our Services, you represent and warrant that: • You have the legal capacity to agree to these Terms. • You are not located in a jurisdiction subject to a US government embargo or designated as a "terrorist supporting" country. • You will not access the Services through automated or non-human means. • You will not use the Services for any illegal or unauthorized purpose. • Your use of the Services complies with all applicable laws and regulations.

You may not use our Services to: • Circumvent, disable, or interfere with security features. • Engage in unauthorized scraping, crawling, or data extraction. • Upload or transmit viruses or any malicious code. • Attempt to impersonate HIZITIV Labs or its team members. • Copy, reproduce, or reverse-engineer any HIZITIV technology, brand, or product. • Engage in any activity that could damage, overburden, or impair our infrastructure. • Collect or harvest personal information without authorization.

If you submit feedback, ideas, suggestions, or other content to HIZITIV ("Contributions"), you grant us a worldwide, royalty-free, irrevocable license to use, reproduce, modify, and distribute such Contributions for any purpose connected with our Services. You represent that your Contributions do not infringe any third-party rights and are not in violation of any applicable laws.

We reserve the right to: monitor the Services for violations of these Terms; take appropriate legal action against violators; restrict or deny access to any user; remove or disable content at our discretion; and manage the Services to protect our rights and ensure proper functioning.

Your use of our Services is also governed by our Privacy Policy, available at hizitiv.com/privacy. By using the Services, you consent to the practices described in our Privacy Policy.

These Terms remain in effect while you use our Services. We may suspend or terminate your access at any time, without notice, for any violation of these Terms. Upon termination, your right to use the Services ceases immediately.

We reserve the right to modify, suspend, or discontinue our Services at any time without notice. We are not liable for any modification, suspension, or discontinuation of the Services. We will provide prior notice of scheduled changes where practicable.

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the courts located in Miami-Dade County, Florida.

Before initiating formal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at contact@hizitiv.org. We will make good-faith efforts to resolve disputes within 30 days. If informal resolution fails, disputes shall be submitted to binding arbitration in Miami, Florida, under the rules of the American Arbitration Association, except where prohibited by law.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. HIZITIV LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIZITIV LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO HIZITIV IN THE TWELVE MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless HIZITIV Labs Inc. and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.
